It is not uncommon for a company to disclose FCPA scrutiny by the DOJ and/or SEC and then at some later point in time disclose that the DOJ and/or SEC has closed its investigation.
When this not so uncommon scenario has occurred post February 10, 2025 (the date President Trump issued the so-called “pause” Executive Order), some have linked such a development solely to the Executive Order often through a “click-bait” headline (ignoring of course that such scenarios have previously occurred).
I intentionally chose a “click-bait” headline for this post to demonstrate the point.
Leidos is a Virginia headquartered information technology, engineering, and science solutions and services company that serves the defense, intelligence, homeland security, civil and health markets. It generates approximately 85% of its revenue from U.S. government contracts and its customer list includes the U.S. Department of Defense, the U.S. Intelligence Community, the U.S. Department of Homeland Security, the Federal Aviation Administration, the Department of Veterans Affairs and many other U.S. civilian, state and local government agencies.
As highlighted in this prior post, in February 2022 Leidos disclosed:
“Through its internal processes, the Company discovered, in late 2021, activities by its employees, third party representatives and subcontractors, raising concerns related to a portion of our business that conducts international operations. The Company is conducting an internal investigation, overseen by an independent committee of the Board of Directors, with the assistance of external legal counsel, to determine whether the identified conduct may have violated the Company’s Code of Conduct and potentially applicable laws, including the U.S. Foreign Corrupt Practices Act (“FCPA”). The Company has voluntarily self-reported this investigation to the Department of Justice and the Securities and Exchange Commission and is cooperating with both agencies. Because the investigation is ongoing, the Company cannot anticipate the timing, outcome or possible impact of the investigation, although violations of the FCPA and other applicable laws may result in criminal and civil sanctions, including monetary penalties, and reputational damage.”
In November 2022 Leidos disclosed:
“Through its internal processes, the Company discovered, in late 2021, activities by its employees, third party representatives and subcontractors, raising concerns related to a portion of our business that conducts international operations. The Company is conducting an internal investigation, overseen by an independent committee of the Board of Directors, with the assistance of external legal counsel, to determine whether the identified conduct may have violated the Company’s Code of Conduct and potentially applicable laws, including the U.S. Foreign Corrupt Practices Act (“FCPA”). The Company has voluntarily self-reported this investigation to the Department of Justice and the Securities and Exchange Commission and is cooperating with both agencies. In February 2023, a former employee of the Company who was terminated at the outset of the investigation was indicted on wire fraud and other charges by a Federal Grand Jury in the U.S. District Court in the Southern District of California. These charges were later dismissed as a result of the death of the former employee.”

In pertinent part, the indictment alleged that George Walther-Meade purported to engage Juan Gonzalez Ruiz (a citizen of Mexico and Spain) as a third party consultant to the company to provide services to the company’s customers in Mexico. However, the indictment alleged that the defendants embezzled funds from the company to enrichment themselves. See here regarding the death of Walther-Meade].
In its most recent 10K, Leidos disclosed:
“As previously disclosed, the Company voluntarily self-reported to the Department of Justice and the Securities and Exchange Commission an investigation related to activities by its employees, third party representatives and subcontractors, raising concerns related to a portion of our business that conducts international operations, and has cooperated with both agencies. In December 2024, the Company received notification from the U.S. Department of Justice that it had closed its inquiry. While the Company has engaged with the SEC, the Company cannot anticipate the timing, outcome or possible impact of an SEC investigation, although violations of applicable laws may result in civil sanctions, including monetary penalties, and reputational damage.”
