Reform of the EU Merger Regulation – minority shareholdings and streamlining of the referral system

On 20 June 2013, the European Commission published a consultation paper which invites comments on a number of options for reform of the EU Merger Regulation, which includes expanding the scope of its powers to review the acquisition of non-controlling minority shareholdings (structural links) and to streamline the case referral system between the Commission and EU Member States.

The proposed reform is the most significant in the last 10 years and could have a huge impact on many corporate transactions, particularly if the Commission is given new powers to review non-controlling minority shareholdings.
