The U.S. Securities and Exchange Commission (SEC) issued a Valentine’s Day notice to public companies yesterday that the SEC will be holding an open meeting on Wednesday, February 21, 2018, at 10:00 a.m. EST to consider, among other things, “whether to approve the issuance of an interpretive release to provide guidance to assist public companies in preparing disclosures about cybersecurity risks and incidents.”

The Sunshine Act notice is linked here.

As reported by this article, Chairman Clayton was quoted at a September 5, 2017 NYU event saying, “I’m not comfortable that the American investing public understands the substantial risks that we face systematically from cyber issues. I’d like to see better disclosure around that.”

For additional background on Chairman Jay Clayton’s views on cybersecurity.  See these speeches.

As you may recall, it was made public last Fall that the SEC’s EDGAR system itself was hacked in 2016.
