The Practising Law Institute (PLI) will host a two-day, hybrid program, Private Placements and Hybrid Securities Offerings 2023, from March 14 – 15, 2023. Chaired by Mayer Brown partner, Anna Pinedo, the program covers the basics of private placements, resales of restricted securities, Section 4(a)(1-1/2) transactions and integration issues. Representatives from the SEC staff, FINRA and Nasdaq will join other panelists to discuss current developments affecting private placements and hybrid offerings, including proposed regulatory and legislative changes. The second half of the program focuses on documentation, principal negotiating issues, and market developments relating to late-stage or pre-IPO private placements, PIPE transactions, 4(a)(2) and Rule 144A offerings, and confidentially marketed public offerings.
Anna Pinedo will deliver the program’s opening remarks on both days, and Mayer Brown partner, Brian Hirshberg will participate on two panels on March 14, 2022.
