On Dec. 18, 2014, the Securities and Exchange Commission proposed amendments to current rules under Section 12(g) of the Securities Exchange Act of 1934, as amended (the Exchange Act) that would implement provisions of Titles V and VI of the Jumpstart Our Business Startups Act (the JOBS Act). In this article, the author reviews the proposed amendments to the Exchange Act rules and what the implications are for clients.
