作者：金杜律师事务所 2017年7月3日，广东恒健投资控股有限公司（简称“广东恒健”）在金杜律师事务所的协助下，以其全资境外子公司恒健国际投资有限公司作为发行主体，在境外成功发行5亿美元3年期S条例高级无抵押固息债券。此次境外发债项目是广东恒健搭建境外融资平台的标杆性项目，也是广东恒健首次在境外发行债券，创下了广东省属及市属国有企业境外美元债及国际信用评级的多项记录。 广东恒健是以投资与投资管理、资产管理为主业，以电力、热力、燃料销售及运输相关业务为核心业务、以产业基金、策略投资、资产管理、金融服务为主要手段的省属大型企业集团，是广东省国资委下属最大的省级投融资平台。在此次境外发债项目中，广东恒健以穆迪A3/标普A-/惠誉A+（展望均为稳定）的公司信用评级创下了广东省属及市属国企的的最高国际信用评级记录，并以2.75%的票息率创下截至目前广东省属及市属国企境外美元债的最低公募票息率记录。 金杜在本次境外债券发行项目中担任发行人中国律师，全面参与了本项目的各个环节，并与广东恒健及各中介机构高效沟通、紧密配合，共同实现了本次境外债券的成功发行。本项目的负责合伙人是张天镝律师和王建学律师，合伙人宋彦妍律师对本项目亦提供了协助与支持。 张天镝律师表示：“我们很荣幸成为广东恒健在境外首发债券的首选律所。在大型国有企业逐步扩宽境外投融资渠道、接轨国际资本市场的过程中，我们的团队将持续为客户提供全面、专业、优质、高效的法律服务，协助其商业目的的实现；同时我们将以此为契机进一步深度开发，实现与恒建在各个业务领域全方位、深层次的对接。”
