作者：刘志刚 吕膺昊 张一鸣 金晶 龙晶 2023年2月10日起，《企业中长期外债审核登记管理办法》（中华人民共和国国家发展和改革委员会令第56号，“56号令”）正式施行，取代《国家发展改革委关于推进企业发行外债备案登记制管理改革的通知》（发改外资〔2015〕2044号，“2044号文”），成为国家发展和改革委员会（“发改委”）针对企业中长期外债的主要监管规则。 在56号令公布后，我们先后准备了《<企业中长期外债审核登记管理办法>快评⸺外债融资参与者视角》（“56号令快评”）和《剖析<企业中长期外债审核登记管理办法>下的变化和对实务的影响》两篇文章，对56号令进行了详细的分析和解读。发改委分别于2023年2月8日和2月9日发布了56号令配套的常见问题解答（“常见问题解答”）和企业借用中长期外债审核登记办事指南（“办事指南”），形成了中长期外债审核登记的监管文件体系，对市场参与者遵守56号令提供了实践操作方面的指导。 作为56号令的配套材料，办事指南和常见问题解答的大部分内容与2044号文配套的办事指南和常见问题解答的内容保持了一致，同时根据56号令的相关内容进行了相应的更新和完善。在本文中，我们将对办事指南和常见问题解答中融资市场参与者普遍关注的一些事项进行简要介绍和评析，作为前述我们两篇文章的补充，为市场参与者依据56号令开展相关融资交易提供参考。 阅读更多
