聚焦美国对华出口管制新规及投资禁令下 “美国人”的合规风险

作者：景云峰 闫璐 当地时间2023年8月9日，美国总统拜登签署旨在限制美国个人和实体投资中国半导体、人工智能、量子计算三大尖端科技领域的投资禁令（以下简称“投资禁令”或“第14105号行政令”）及其实施细则征求意见稿，随后2023年10月17日，美国商务部工业与安全局（BIS）公布针对先进计算物项、超级计算机与半导体最终用途临时最终规则（以下简称“AC/S IFR”）和针对半导体制造物项的出口管制临时最终规则 （以下简称“SME IFR”），进一步明确对“美国人”（包括但不限于美国企业、美籍科学家以及持有美国绿卡的中国籍研发人员等）特定活动、超级计算机以及半导体制造最终用途等的限制措施范围，及时补足政策漏洞，两份临时最终规则主要规定已于当地时间2023年11月17日正式生效。 近年来，随着美国不断收紧对华高科技领域出口管制以及投资政策，导致“美国人”开展投资、研发、生产、销售、技术合作等活动面临的合规义务与法律风险进一步提升。本文旨在对美国出口管制新规以及投资禁令项下有关“美国人”的限制措施与合规风险进行解读，以期对相关人士有效防范和化解法律风险有所帮助。 阅读更多

作者：楼仙英 戴梦皓 姚爽 陈若思 郑子懿 2023年10月17日，美国商务部产业安全局（“BIS”）就先进计算芯片、超级计算机和半导体制造设备的相关出口管制发布了两个新的临时最终规则（Interim Final Rule,“IFR”），即：先进计算物项和超级计算机临时最终规则（“AC/S IFR”）和半导体生产物项临时最终规则（“SME IFR”），以对2022年10月7日所发布的针对中国的半导体出口管制临时最终规则（“10.07 IFR”）进行全面修订。在10.07 IFR发布时隔一年之后，BIS结合了半导体业界对于10.07 IFR的反馈以及10.07 IFR在实际执行中其所发现的一些具体问题所发布这两个新一轮IFR， 与10.07 IFR相比，虽然没有对原有监管思路的结构性调整，但是条目设置和监管逻辑更为缜密，充分体现了美国政府在立法公告中所提出的相关出口管制政策“保证效率、查漏堵缺、持续管控”的方针。在此，我们结合我们在出口管制和半导体领域多年的经验和思考，对本次法规更新中中国公司较为关心的问题进行说明，希望中国企业能对此有清晰的理解，并对企业发展做出正确的判断。 阅读更多
