新基建：EPC模式在智慧城市类基础设施项目中的应用及合规要点

作者：赵显龙 林嘉 王涛 EPC模式作为工程总承包形式的一种，是指承包单位按照与建设单位签订的合同，对工程设计、采购、施工实行总承包，并对工程的质量、安全、工期和造价等全面负责的工程建设组织实施方式。目前EPC模式正逐步在智慧城市类基础建设项目中应用，尤其是在智慧交通、机房数据中心等类型的项目中，因其建设内容涵盖施工、设计和软硬件采购集成等系统性内容，且本身具备功能性导向的特征，天然具备EPC模式的运用场景，使得EPC正逐渐成为该类项目建设的主流模式。 而且，在常规的EPC模式的基础上，通过借鉴国际上EPC模式的实践做法，根据项目开发建设过程中的不同情况，实操中还进一步演变出了“EPC＋O”、“EPC+F”等延伸模式，以解决项目可能存在的融资、运营等方面的问题，这使得该类项目在实践中所面临的法律问题日趋复杂。 为此，我们基于发改委及住建部于2020年3月施行的《房屋建筑和市政基础设施项目工程总承包管理办法》和各省市出台的有关EPC模式的法律法规，以及我们为多个智慧城市类EPC项目提供全流程服务的经验，对其中所涉及的合规操作要点及常见风险缓释建议进行了总结，以期能为智慧城市类EPC项目的参建单位提供指引。 阅读更多
