境外上市架构选择：红筹，拆不拆

作者：胡静 高晗 陈奕辰 过去三十多年，红筹模式为寻求国际融资的中国境内企业，特别是部分受政策约束的企业，开辟了一条通往全球资本市场的路径。红筹架构的核心在于，以在开曼群岛等离岸法域设立控股公司作为上市主体，通过搭建多层境外实体，并最终通过协议控制（VIE）或股权控制的方式，将境内运营实体的经济利益与境外资本市场相连接。随着境外上市全面实施备案制，市场环境与监管逻辑已发生深刻变化。是否维持或调整现有红筹架构，成为许多企业需要重新评估的议题。 阅读更多
