Special Purpose Acquisition Companies（简称“SPAC”）是一种发起人设立，通过IPO上市募集资金，以收购不特定资产的特殊目的公司。不过，SPAC上市时，投资者即使知道它要进军哪个行业，也不确定最终会把哪家公司收入囊中。具体要并购哪个标的，要等到SPAC正式上市后，经发起人调研谈判才能确定。投资人股东通过并购方案后，SPAC并购标的公司，以标的公司的名义存续（上市代码通常一并变更），SPAC至此完成使命。这一并购的过程，业界称为"De-SPAC交易"。
