进出口监管最新动态评析：高管出境安全风险解读（2023年7月刊）

作者：刘新宇 郑银莹 郭欢 蒋睿馨 董梦 刘学朋 刘姝倩 王丹 2023年6月12日，国内某光伏企业高管在飞抵慕尼黑机场拟参加在德国举办的太阳能专业展会时，被德国相关部门突然带走。根据德国慕尼黑机场警方对外披露的细节，德国相关部门此次行动持有审前拘留令（Pre-trial detention order）。该事件发生在国内光伏企业积极拓展海外订单的档口，一时间引起高度关注。 境外相关执法机关针对国内企业高管采取的执法行动，严重影响了企业的境外业务合作和开拓，并给企业高管的个人出境行为蒙上一层阴影。本次德国慕尼黑当局对国内光伏企业高管采取限制措施并非个别案例。2019年，同样在德国慕尼黑Intersolar Europe展会期间，亦有两名中国光伏企业高管被德国相关部门带走，经德国当地法院审理，前述的两名中国公民分别被判处了44个月以及29个月监禁。据德国光伏媒体PV Magazine当时发布的消息，其中一位高管的被捕原因系涉嫌参与太阳能组件的商业走私及违法规避2018年9月之前执行的欧盟最低限价MIP。 而随着大国经贸竞争、地缘政治等因素的影响，不仅仅是光伏领域，其它行业领域企业的产业和市场竞争所伴随的高管出境安全问题亦早已持续多年。 阅读更多

作者：刘新宇 郑银莹 丁婕 蒋睿馨 陈起超 陆婷婷 近年来，海关在全国范围内持续对不同行业企业向境外支付的特许权使用费开展专项稽查，同时相继出台多个规范性文件进一步明确和强调特许权使用费申报和纳税要求。特许权使用费作为跨境交易中常见的安排，由于其安排复杂、形式多变、金额较高等特点受到了海关、税务等主管机关的关注。从海关监管的角度，由于相关立法对于特许权使用费是否应税的规定相对较为原则，有关判断的专业技术难度较高，企业应对海关质疑的难度也比较高。而特费补税通常金额较高，并且具有持续性、关联性影响，因此这也是企业进出口合规管理重点之一。 基于上述背景，本文将针对特许权使用费海关审价过程中涉及的法律问题和争议的焦点等进行分析探讨，并给出合规建议，供企业参考。 阅读更多
